Amadeus Announces Finalization of M3K Solutions Acquisition
Quebec City , June 28th 2005 - Amadeus International Inc. (TSX-V: AML), global leader of advanced compliance process control solutions, announced today the finalization of its acquisition of all issued and outstanding shares of M3K Solutions, Inc.
Under the terms of the transaction approved by the Boards of Directors of both companies and by regulatory authorities, the acquisition of M3K Solutions includes the issuance of 5,428,571 common shares of Amadeus at a price of $0.35 per unit, and cash of $1,500,000, payable at a rate of $1,250,000 with the transaction and of $250,000 on August 31, 2005 . Dilution relative to this acquisition is 15.7% from the number of issued and outstanding shares after the transaction.
